INDEMNITY

DISPUTE RESOLUTION TERMS FOR CANADIAN VISITORS (PLEASE READ CAREFULLY)

This section only applies to visitors of the Site who are domiciled or reside in Canada or who access the Site from Canada (including any and all territories thereof).

Any disputes, claims, and causes of action arising out of or connected with your use of the Site (each, a “Dispute”) must be submitted exclusively to the Arbitration Association in Canada to be heard under their Consumer Arbitration Rules. If for any reason, the agency is unable or unwilling to conduct the arbitration consistent with these terms, you and we will pick another arbitrator.

You agree that any Dispute between us shall be resolved exclusively in individual (non-class) arbitration. The parties intend to be bound to the Arbitration Act. An arbitration means there will be no jury and no judge.

The arbitrator shall exclusively determine all issues as to the Dispute, applying these Terms. The arbitrator shall also determine any question as to whether any Dispute or issue is subject to arbitration. The arbitrator shall not have the power to hear any Dispute as a class action, mass action, or representative action. The arbitrator shall not have any power to issue relief to anyone but You or us.

Disputes that can be fully resolved in small claims court need not be submitted to arbitration.

These Terms and your use of the Site are governed by the laws of Canada, without regard to its choice of law provisions. However, any determination as to whether a Dispute is subject to arbitration or the arbitration's conduct shall be governed exclusively by the Arbitration Act.

CLASS ACTION WAIVER

THIS SECTION APPLIES TO THE EXTENT PERMITTED BY APPLICABLE LAW.

NO ARBITRATION OR PROCEEDING SHALL BE JOINED, CONSOLIDATED, OR COMBINED WITH ANOTHER ARBITRATION OR PROCEEDING WITHOUT THE PRIOR WRITTEN CONSENT OF ProgressGuide Solutions Inc AND ALL PARTIES TO ANY SUCH ARBITRATION OR PROCEEDING.

PRIVACY

Please review our Privacy Policy for information on the manner in which we collect, use, disclose, and otherwise manage your personal information. By using the Site, you consent to collecting, using, and disclosing the personal information collected by or through the Site, as described in such Privacy Policy. In particular, without limitation:

All other trademarks appearing on the Site are property of their respective owners. Our trademarks and trade dress may not be used in any manner for any purpose without our express written consent.

INFRINGEMENT NOTICE (CANADA)

You are hereby informed that ProgressGuide Solutions Inc has adopted and reasonably implemented a policy that provides for the termination in appropriate circumstances of subscribers and account holders of ProgressGuide Solutions Inc's system or network who are repeated copyright infringers. These Terms of Use will enure to the benefit of and bind you and us and our respective personal and legal representatives, successors, and permitted assigns.

RELATIONSHIP

No joint venture, partnership, employment, or agency relationship exists between you and us due to these Terms of Service or your use of the Site.

The parties have requested and agree that this agreement and all documents relating thereto be drawn up in English.

By responding to our request with #HomeRender or #HomeRenderIO you agree to the following:

1. I give my permission to ProgressGuide Solutions Inc its affiliates, related entities, agents, representatives, successors, and assigns and those acting under their authority (collectively referred to as "ProgressGuide") to use, reproduce, publish, display, communicate, perform, broadcast, edit, modify, do derivative works and distribute any materials, content, illustrations, photos, videos, comments and information relating to the post, or part thereof, including those bearing my image, voice, and/or likeness (collectively referred to as “Materials”) in any and all media and form, worldwide, in perpetuity, for any purpose that furthers the objects of ProgressGuide Solutions Inc. The permission referred to above includes the right to use the Materials in any manner and media, including posting the Materials to any website or online community directly or indirectly owned, controlled or operated by ProgressGuide Solutions Inc or to any third-party websites or online communities, including without limitation Facebook, Twitter, YouTube, Google Business, Flickr, Pinterest or Instagram, upon which ProgressGuide Solutions Inc has posted or wishes to post the Materials (collectively, the “Websites”).
2. I hereby transfer to ProgressGuide Solutions Inc all of my right, title, and interest in the Materials, including but not limited to all intellectual property rights therein, and acknowledge that ProgressGuide Solutions Inc may copyright the Materials or otherwise protect them in any way it sees fit, in its own name. To the extent that any part of the ProgressGuide Solutions Inc cannot be assigned, I hereby grant ProgressGuide Solutions Inc an irrevocable, perpetual, sublicensable, unrestricted, royalty-free, worldwide license to use the Materials as described in these terms and conditions.
3. I waive (i) all rights of publicity and privacy which I may have in the Materials; (ii) any right to inspect and/or approve the Materials or any part thereof that may be used, or any use that may be made of them; and (iii) any moral rights, worldwide, which may have accrued to me, as the author of any of the Materials.
4. I warrant and represent that: a) I am the sole author of the Materials and own all rights to use them, or alternatively have the right to grant ProgressGuide Solutions Inc the rights described herein; b) the Materials do not, and the use of the Materials in accordance with these terms and conditions will not, infringe the copyright, trademark, privacy, publicity, or other personal or proprietary rights, or any other rights, of any person or entity; c) I have obtained, prior to posting the Materials, any and all releases and consents necessary to permit the collection, publication, exhibition and/or use of the Materials by ProgressGuide Solutions Inc in accordance with these terms and conditions; d) I have paid or will pay in full any fees or other payments that may be related to the use of the Materials; e) all Materials are accurate and do not violate any law, statute, ordinance or regulation; f) none of the Materials is defamatory in any manner, or places any person in a false light; and g) I am at least 18 years of age.
5. Without limiting the above, I represent and warrant that the Materials do not contain any personal information regarding any individual other than myself, or that if the Materials do contain personal information regarding any third party or parties, I have provided any necessary notices to such other individual(s) and obtained their explicit consent in a form that complies with all applicable privacy laws, to post their personal information and for ProgressGuide Solutions Inc to collect, use and disclose their personal information as described herein. Personal information includes any information about an identified or identifiable individual, including but not limited to: name, address, or other identifiers; information regarding an individual’s employment or relationships; information about an individual’s activities or whereabouts; and/or any photographs, voice recordings or videos of individuals, their homes, or their property.
6. I authorize ProgressGuide Solutions Inc to use and refer to my name, social media handle, image, likeness, place of residence in connection with the use of the Materials in accordance with these terms and conditions, at ProgressGuide Solutions Inc's sole discretion.
7. To the extent that the Materials contain any personal information, I consent to ProgressGuide Solutions Inc and its service providers collecting, using, and disclosing such personal information to promote and market ProgressGuide Solutions Inc's products and services. I understand that such information will be disclosed to the public online. I further understand that by posting the Materials to any of the Websites, unknown third parties may have the ability to download, copy, use, republish and make comments on the Materials (including any personal information contained therein) without moderation.
